DXBTOK provides a digital platform for property-related onboarding, information access, reservation workflows, transaction coordination, document handling, and related support services in connection with selected real estate opportunities and property transactions.

2. Scope of These Terms

These Terms of Use apply to your use of the DXBTOK website and platform generally.

They apply to:

• browsing the website

• creating or using an account

• accessing listings, dashboards, forms, documents, or transaction pages

• submitting information, KYC documents, payment-related information, or communications

• using any DXBTOK tools, workflows, or services

These Terms of Use should be read together with any other applicable legal documents, including:

• Risk Disclosure

• reservation summaries

• purchase summaries

• fee disclosures

• transaction-specific agreements or notices

If a transaction-specific agreement contains specific terms that apply to a particular property transaction, those transaction-specific terms will prevail for that transaction to the extent of any direct conflict.

3. Eligibility

You may use DXBTOK only if:

• you are at least 18 years old

• you have legal capacity to enter into binding agreements

4. No Financial, Legal, or Tax Advice

DXBTOK provides platform access, coordination, information, and transaction support services.

Nothing on the platform constitutes:

• financial advice

• investment advice

• legal advice

• tax advice

• regulated personal recommendation

• guarantee of outcome

You are responsible for obtaining your own independent legal, tax, financial, or other professional advice before making any decision or entering into any transaction.

5. Nature of the Platform

DXBTOK operates as a property access, onboarding, and transaction-support platform.

Depending on the transaction type, DXBTOK may assist with:

• property presentation

• buyer onboarding

• KYC and compliance collection

• reservation workflows

• payment coordination

• broker, developer, or third-party coordination

• document flow and transaction support

DXBTOK may work with third-party brokers, developers, service providers, banks, payment processors, compliance providers, legal professionals, and administrative partners where reasonably required.

6. Account Registration and User Information

To access certain functions, you may need to create an account and provide personal, identification, compliance, and transaction-related information.

You agree that:

• all information you provide is true, accurate, and complete

• you will keep your information up to date

• you will not impersonate another person or use false details

• you are responsible for maintaining the confidentiality of your login credentials

• you are responsible for activities carried out through your account unless caused by DXBTOK’s own fault

DXBTOK may suspend, restrict, or close accounts where information is inaccurate, misleading, incomplete, or where misuse, fraud, compliance concerns, or operational risk is suspected.

7. KYC, AML, and Compliance Checks

Your access to certain services or transactions may be subject to identity verification, know-your-customer checks, anti-money laundering checks, source-of-funds review, sanctions screening, and other compliance procedures.

DXBTOK may request documents and information including:

• passport or ID

• proof of address

• source-of-funds documents

• tax or residency information

• payment evidence

• any additional information reasonably required for compliance or operational review

DXBTOK may delay, refuse, suspend, or cancel access or transactions until such requirements are satisfied.

8. Platform Content and Information

Content made available on DXBTOK may include text, graphics, pricing, property details, project information, illustrations, timelines, rental examples,

summaries, status indicators, and other materials.

Unless expressly stated otherwise in writing:

• content is provided for general information only

• content may be provisional, incomplete, delayed, or subject to correction

• availability may change without notice

• property details, prices, timing, and related information may be updated or removed at any time

DXBTOK does not guarantee that any listing, project, timing, pricing, or opportunity shown on the platform will remain available or proceed on the same terms.

9. Permitted Use

You may use the platform only for lawful purposes and in accordance with these Terms.

You may not:

• use the platform for unlawful, fraudulent, or misleading purposes-

• misuse another person’s account or data

• attempt to gain unauthorized access to systems or data

• interfere with platform security or functionality

• upload malicious code, viruses, or harmful material

• copy, scrape, reproduce, republish, or exploit platform content without permission

• use the platform in a way that could damage DXBTOK, other users, or third parties

• use automated tools to access or extract platform data unless expressly authorized

10. Intellectual Property

All content, branding, software, layouts, text, graphics, workflows, design elements, and platform materials made available by DXBTOK are owned by DXBTOK or its licensors unless otherwise stated.

DXBTOK grants you a limited, non-exclusive, revocable, non-transferable right to access and use the platform for personal or internal business use related to legitimate use of the services.

You may not copy, modify, distribute, publish, create derivative works from, or commercially exploit platform content without prior written consent.

11. Electronic Communications and Records

By using DXBTOK, you agree that DXBTOK may communicate with you electronically, including by:

• email

• dashboard notifications

• account messages

• click-through notices

• confirmations displayed on the platform

You agree that electronic records, checkboxes, click confirmations, timestamps, logs, version records, and related digital evidence may be used to document your use of the platform and your acceptance of documents, notices, or transaction steps.

12. Reservations, Transactions, and Third-Party Processes

Use of the platform may involve reservation flows, payment deadlines, compliance review, document requests, and third-party coordination.

Any property-related transaction may depend on:

• availability

• cleared payment

• satisfactory compliance review

• third-party broker or developer processes

• banking channels

• authority procedures

• legal and administrative requirements

A reservation, indication of interest, dashboard status, or provisional confirmation does not by itself guarantee final completion.

DXBTOK may refuse, suspend, modify, or cancel a reservation or transaction where reasonably necessary due to compliance concerns, non-payment, unavailability, third-party issues, legal restrictions, administrative problems, or operational risk.

13. Fees and External Costs

Where applicable, DXBTOK fees, service fees, reservation fees, or other charges will be disclosed in the relevant transaction flow, reservation summary, purchase summary, or related documentation.

External costs may also apply, including government charges, registration fees, developer fees, broker fees, transfer charges, bank fees, exchange costs, and other third-party costs.

Unless expressly stated otherwise in writing, fees paid for work already commenced, onboarding already performed, reservation handling already carried out, or transaction coordination already started may be non-refundable to the extent permitted by law.

14. Privacy and Data Use

Your use of DXBTOK is also governed by our Privacy Policy and Cookie Notice.

DXBTOK may collect, process, store, transfer, and use personal data and transaction-related data where reasonably necessary to:

• operate the platform

• verify identity and eligibility

• perform compliance checks

• coordinate transactions

• maintain records

• communicate with users

• improve services

• comply with legal and regulatory obligations

15. Service Availability

DXBTOK does not guarantee uninterrupted or error-free access to the platform.

The platform may be unavailable, delayed, restricted, or modified due to:

• maintenance

• system updates

• technical issues

• security concerns

• third-party outages

• legal or compliance reasons

DXBTOK may change, suspend, or discontinue any part of the platform at any time.

16. No Warranty

To the fullest extent permitted by law, DXBTOK provides the platform on an “as is” and “as available” basis.

DXBTOK makes no representation or warranty, express or implied, regarding:

• uninterrupted availability

• accuracy or completeness of platform content

• fitness for a particular purpose

• merchantability

• non-infringement

• outcome of any property transaction

• future availability of any listing or project

17. Limitation of Liability

To the fullest extent permitted by law, DXBTOK shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, including:

• loss of profit

• loss of opportunity

• loss of revenue

• loss caused by market movement

• exchange-rate loss

• delay caused by third parties

• data loss

• business interruption

To the fullest extent permitted by law, DXBTOK’s total liability arising out of or in connection with your use of the platform shall not exceed the total amount of fees actually received by DXBTOK from you in relation to the specific matter giving rise to the claim, or if no fee was paid, a reasonable nominal amount permitted by law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

18. Indemnity

You agree to indemnify and hold harmless DXBTOK, its officers, directors, employees, affiliates, contractors, and service providers from and against claims, losses, liabilities, damages, costs, and expenses arising out of or in connection with:

• your breach of these Terms

• your misuse of the platform

• your violation of applicable law

• false, misleading, or incomplete information provided by you

• your infringement of third-party rights

19. Suspension and Termination

DXBTOK may suspend, restrict, or terminate your access to the platform at any time where reasonably necessary, including where:

• you breach these Terms

• compliance concerns arise

• fraudulent, abusive, or unlawful conduct is suspected

• your account information is false or incomplete

• continued access creates legal, regulatory, reputational, or operational risk

Termination or suspension does not affect any accrued rights, obligations, or liabilities.

20. Changes to These Terms

DXBTOK may update these Terms of Use from time to time.

Updated versions may be published on the platform with a revised effective date. Continued use of the platform after an update may constitute acceptance of the updated version, except where a previous version must continue to apply by law or for a specific transaction already concluded.

21. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of England and Wales, unless mandatory law requires otherwise.

Subject to mandatory law, the courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms of Use.

22. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force to the maximum extent permitted by law.

Any failure by DXBTOK to enforce a right or provision does not constitute a waiver of that right or provision.

These Terms constitute the general terms governing your use of the platform, together with any other documents expressly incorporated by reference.
